UTair has completed an additional share issue to receive state support


Moscow. December 28. The airline “UTair” concluded the placement of shares on dopemisii 3,125 billion roubles, is spoken in the message of the airline. Placement of additional shares is conditional on the receipt by the carrier who is experiencing financial difficulties, state guarantees and syndicated loans.

Just posted of 3.125 billion shares with a par value of 1 ruble. The placement price amounted to RUB 8 per share.

In addition, in the materials of “UTair” reported that from December 24, the main shareholder of the airline – NPF “Surgutneftegaz”, which owned prior to placement of additional issue 62,56% of the shares, cease participation in its authorized capital. These shares passed into the ownership of JSC “AK-invest” (the structure of NPF “Surgutneftegas”).

As reported, the Khanty-Mansi Autonomous Okrug in the framework of the additional issue was planned to direct for purchase of shares of “UTair” to 11.5 billion rubles, JSC “AK-invest” – 11 billion rubles, Tyumen oblast – RUB 2.5 bln.

In this case, Deputy Governor, Director of Department for economic development of Khanty-Mansiysk Autonomous district Pavel Sidorov in late November, reported that after placing of additional issue of “AK-invest” will receive 42% of the shares in the authorized capital of “UTair”, Khanty – 39% of the shares, the Tyumen region is 8.6 per cent.

Then it was assumed that the share of NPF “Surgutneftegas” Charter capital “UTair” after the additional issue will be reduced to 8% 62,56%.

It was also reported that the carrier 18 December received state guarantees on $ 9.5 billion rubles. In the beginning of the current year UTair has announced intentions to require the state state guarantees in the amount of 38.4 billion. The interdepartmental Commission under the Ministry of economic development approved the application by 19.2 billion rubles, and in late October the Ministry of Finance submitted to the government a draft decree on granting state guarantees to the carrier at 9.5 billion rubles.

In the framework of the restructuring plan the shareholders of the company in spring this year took the decision to increase its share capital by 3,125 billion rubles by placement of 3.125 billion shares with a par value of 1 ruble. After registration of results of issue the Charter capital of carrier will increase 6.4% to 3.7 billion rubles.

Currently the authorized capital of UTair consists of 577,208 million shares with a par value of 1 ruble.
