The new owners
Simferopol airport was transferred to the management of LLC “international airport Simferopol”, said the co-owner of this company Mr. Oleg Zhestkov. Zhestkov in March 2016 an independent Director of the Russian national commercial Bank (RNCB), a backbone Bank of the Republic of Crimea.
Initially, the airport was managed by the JSC, 100% owned by the government of the Crimea. But now the company has received all the property complex of the airport, says the businessman. At the end of June the deal was approved by the Federal Antimonopoly service (FAS).
The transaction took place within the framework of the investment agreement on construction of a new passenger terminal of the Simferopol airport, said Advisor to the head of the Crimea Sergey Aksenov on transport Anatoly Curcin. He confirmed that the new company (JSC “international airport Simferopol”) authorities handed over all the property of the airport, instead of having 49% share. The rest (51%) — investors in the new terminal, he added. The fact of combining assets in the airport of Simferopol confirmed by a source close to the Federal Ministry of transport.
According to “SPARK-Interfax”, LLC “international airport Simferopol” on 100% belongs to the company “Akkord-invest, which in 2014 established Zhestkov. But since its share in the company decreased from 16 August 51% the chord of invest” through “the chord holding” belongs to an entrepreneur (its effective share of 31%) and the Bank “Russia” (20%), whose largest shareholder is Yuri Kovalchuk, with a share of about 40%. And yet 49% of the chord of invest” has received the Crimean authorities (through JSC “international airport Simferopol”).
After the transfer of the assets of the airport was closed, the new company renewed the contracts with airlines and contractors, he says: “now You’ll never find AO, everywhere. According to him, a part of this company transferred and airport employees, and its appointed General Director Yevgeny Plaksin, until July 2016 head of AO.
The “VIM-Avia” has signed a contract with JSC “international airport Simferopol”, – said the representative of the airline. Representatives of two other companies flying to Crimea, — “Aeroflot” and ” S7 — did not respond to requests , and in a press-service “the Ural airlines” have refused comments.
From the information on the website of the Simferopol airport, it also follows that now, the “international airport Simferopol” — its main legal entity.
According to Central Bank data, in the Crimea, now there are seven banks. The main share of the banking market of the region’s RNCB. Their assets on the background of other participants is allocated and present in the region, the Bank “Russia” (15-th place in the ranking “Interfax-100” prepared “Interfax-TSEA”). After being hit in the sanctions list of the US and the EU (along with their owners Yury Kovalchuk and Gennady Timchenko), the Bank “Russia” was forced to adjust its development strategy, focusing on work only within Russia and only with rubles. Shortly thereafter, the Bank launched active work in the Crimea and in April 2014 opened its first office. Then the Bank announced plans to come in all the principal cities of the Peninsula.
The largest players of the Russian financial market — VTB and Sberbank — were forced to reduce their activities in the Peninsula because of the threat of tougher European and us sanctions. “To tear the shirt on the body is possible, but, unfortunately, in the Crimea, we can’t today, because today the dollar is the main currency of the world, and while the ruble will not replace it, we have to consider this situation. This is a very tough sanctions, and for such a Bank as VTB, they will mean the death of the Bank”, — said the head of VTB Andrey Kostin at a meeting of shareholders this year.
The Council under control
For the management of the airport will be created by the Board of Directors, says he. To reveal its composition, the entrepreneur refused, saying only that the Council will receive and its partners of the Bank “Russia”.
The Board of Directors will be headed by one of Vice-premiers of the government of the Crimea, and most will be for representatives of the Crimean authorities, says Churkin. He also stressed that regulates the relationship between the shareholders of a corporate agreement. In particular, according to Turkina, the document stipulates that the new shareholders can claim a share in the profits of the airport only after the delivery of the new terminal.
In April, the “international airport Simferopol” (then 100% owned by Zhestkova) signed with the authorities of the Crimea the investment contract for construction of airport the new passenger terminal with an area of 78 thousand sq. m. Cost of its construction Plaksin was estimated at 32 billion rubles for three years: 22.5 billion rubles. highlighted the banks operating in the Crimea, and the rest — private investors. “Never in the Crimea, the projects in this volume are not implemented,” — said the head of the Crimea Sergey Aksenov.
In the framework of the syndicated loan MCB will provide for the construction of a new terminal 14 billion to 2031, according to the press service of the Bank on Thursday, August 25. The agreement on a syndicated loan was signed on 8 July, when he still headed the “international airport Simferopol”, follows from the RNCB. So for the Bank it was a deal with interest. This transaction was approved in accordance with the law, said the representative of the Bank, abandoning details. The transaction was approved by the Agency controlling the MCB, according to the materials of the Bank.
The second member of the syndicate Bank “Russia”, and he is appointed “Trustee collateral” to the transaction, the disclosure of MCB. But what is the role of the Bank, representatives of RNCB and “Russia” do not open.
“Pleasing to God”
Bank “Russia” financed under the project under another agreement,” said he. According to him, this explains the appearance of the Bank in the shareholders of the airport: “the Use of money should be worth something? In the negotiations decided that the final structure [of possession of the airport] is this”. The size of the allocated “Russia” means he doesn’t specify, but admits that the amount will be less than the credit RNCB.
And its stake in the airport (31%) Zhestkov, he said, paid “asset”: “Land plots, the statutory capital firms, all movable and immovable [property]”.
Materials MCB, it follows that as collateral on the loan the banks received 100% of LLC “international airport Simferopol”, the contract for the construction of a new terminal and a land area of 60,6 thousand in sq. m and lease rights to another plot of land with an area of 435,72 thousand sq. m.
Jestkova also had to spend money on development of design documentation for the new terminal, says the businessman, but the total sum of their costs does not disclose. If Crimean authorities do not cede control at the airport, the investment in this terminal is not paid off, said the owner: “otherwise, why would we build when we can’t get it [the terminal] to use? The terminal without the terminal infrastructure”.
The Bank “Russia” and zhestkova bind “a purely economic relationship,” says the businessman (representative of Bank does not comment on it). Together they do “charity, good cause,” says the entrepreneur: “the Old airport was suffocating.” The capacity of the new terminal will amount to 6.5 million passengers in the first phase, with expansion to 10 million passengers.
According to Rosaviation, in January—June, the airport of Simferopol took 1.8 million people, or 6.4% more than in the same period of 2015. In 2015, the passenger traffic rose to 5 million people, almost twice more than year before (the main tourist flow falls on summer months). In 2016, the airport could serve up to 7 million passengers, predicted earlier Aksenov.
According to “SPARK-Interfax, the revenue of the airport for the year 2015 amounted to 2.7 billion rubles, a profit of 978 million rubles.
Simferopol airport can be not the only infrastructure project in the Crimea “the chord-invest”, controlled by Zhestkov and “Russia”. The company is the most likely investor in the development of the civil airport in Sevastopol, wrote “Kommersant”. This was confirmed by Churkin. However, according to him, the fate of this project still open to question.
The representative in charge of Crimea Deputy Prime Minister Dmitry Kozak had forwarded the questions to the government of the Republic. Representatives of the Crimean government, and Simferopol airport has not responded to the requests.
